By using the RP-AXIS website, mobile applications, or any services provided directly or indirectly through our platforms (collectively, “Services”), you agree to these Terms and all terms incorporated by reference.

  • Grant RP-AXIS a worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, distribute, display, and modify your content

You agree not to submit content that is unlawful, harmful, defamatory, obscene, or violates any rights of third parties.

THE SERVICES AND CONTENT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 

RP-AXIS DOES NOT WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. 

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RP-AXIS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR CONTENT. 

IN NO EVENT SHALL RP-AXIS AGGREGATE LIABILITY EXCEED THE GREATER OF THE AMOUNT PAID BY YOU FOR ACCESS TO THE SERVICES IN THE PRIOR 12 MONTHS OR ONE HUNDRED DOLLARS (USD 100). 

  1. Indemnification

You agree to indemnify, defend, and hold harmless RP-AXIS and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of: 

  • Your breach of these Terms 
  • Your violation of applicable laws

  1. Termination

We may suspend or terminate your access to the Services at any time for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services immediately ceases. 

All provisions that by their nature should survive termination will continue to apply, including intellectual property rights, disclaimers, limitations of liability, and indemnity.  

  1. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. 

Any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, your use of the website, or the Services shall be brought exclusively in the state or federal courts located within the State of New York, and you hereby consent to the personal jurisdiction and venue of such courts. 

  1. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. 

  1. Entire Agreement

These Terms, together with the Privacy Policy and any legal notices or disclaimers published on the Services, constitute the entire agreement between you and RP-AXIS regarding your use of the Services.
